The sales transaction is official. Car dealer S. Bryan Chandler has sold O’Gara Training and Services, LLC approximately 330.0 acres of land that is situated between Westmoreland Industrial park and the upper reaches of a Nomini tributary.
The deed that governs the transaction was filed in the Westmoreland Circuit Court on July 30 and indicates that the A-1, Agriculture zoned property assessed at $989,700.00 was in fact purchased for $2,500,000.00 on July 28.
Language in the deed reveals that “for and in consideration of an IRC Section 1031 Tax-Free Exchange, and of other good and valuable considerations, receipt whereof is hereby acknowledged, the GRANTOR does grant and convey unto the GRANTEE, with GENERAL WARRANTY OF TITLE and ENGLISH COVENANTS, the real estate hereinafter described as follows [on an attachment identified as Schedule A].”
A Schedule B recites the reservation of easements associated with the transfer of the property’s ownership. Chandler and his successors have reserved title to a “perpetual non-exclusive easement of ingress and aggress fifty (50) feet in width over and along that certain area shown on the aforesaid plat prepared by Burg and Partners [of Williamsburg, Virginia] dated January 19, 2009 as follows:
“Beginning at the eastern boundary of the land hereby conveyed in the line with the land shown as ‘N/F Porter and McIlwees’, thence generally westward along the edge of marsh toward Weavers Mill Pond to the base of the dam of the aforesaid Mill Pond.
“The Grantor reserves unto himself and his successors in title a perpetual non-exclusive utility easement over the land hereby conveyed beginning at its southern boundary adjacent [to] the land of the Industrial Development Authority of Westmoreland County, Virginia, at a point adjacent [to] the road to be constructed by the Grantee, these generally northeastward through the land hereby conveyed to the land described on said plat as ‘N/F Meadow Farms Trust A, DB 707/703, TM 35-92’ along said road to be constructed, of sufficient width and other dimensions so as to comply with the then current Dominion Power specifications.
“In the event said road is not constructed by the Grantee within two (2) years from the date hereof, then and in such an event, the Grantor may cause to be constructed an electricity transmission line adjacent [to] the existing road leading through the land hereby conveyed.
“Further, the Grantee agrees to execute all documents prepared by Dominion Power to effect the terms of this Reservation.”
Schedule A recites the 309-acre and 31.9-acre parcels’ respective meets and bounds. The two parcels are then merged into a single tract for Tax Map purposes.
Although O’Gara expects to delay its purchase of the 25-acre Westmoreland County Industrial Park property until a Freedom of Information Act petition addressing that transaction is resolved in the county’s Circuit Court, the Industrial Park property is currently being utilized by O’Gara Group to access its newly acquired 330.9-acre tract.
Road construction activities and other unidentified improvements on the former Chandler lane began as quickly as July 31 by workmen from Williamsburg, Virginia.
O’Gara Group expects to begin its tactical training operations as quickly as Fall 2009. The limited liability company from Ohio expects to train security personnel employed by a major federal government contractor known as DynCorp International. DynCorp is poised to inherit a substantial number of the federal contracts previously held by Blackwater for delivery of security services in Iraq. It expects to utilize O’Gara Group as its training subcontractor.
